FAQS
Why has MPBC remained unincorporated for approximately 160 years?
Does incorporation eliminate personal liability?
What happens to the trustees?
Does incorporation affect MPBC's 501(c)(3) status?
Incorporation and federal tax exemption are related but separate legal questions. Incorporating does not automatically terminate or create MPBC’s tax-exempt status. Appropriate religious-purpose and dissolution provisions should be included in the articles.
Incorporation Process Overview
Incorporating Mt. Pleasant Baptist Church is a vital step in ensuring our church operates smoothly and legally. This process involves several key steps that will help us establish a solid foundation for our congregation's future.
Gather Current Governing Documents
The first step is to gather the church’s current governing documents. This includes the constitution, bylaws, and any other relevant documents that outline how our church operates.
Prepare and File Articles of Incorporation
Next, we will prepare and file the Articles of Incorporation with the Virginia State Corporation Commission. This legal document officially establishes our church as a corporation.Review our Governing Documents
It's essential to review the governing documents to ensure they accurately describe the authority of the congregation and church leaders, reflecting how we operate as a community.Educate and Involve the Congregation
Educating and involving the congregation is crucial. Proposed governing documents will be shared with the church menbership for review.
Hold the Organizational Meeting
During the formal organizational meeting, we will approve the governing documents and record our decisions in official minutes, ensuring transparency and accountability.Transfer Church Property, If Necessary
If necessary, church property will be transferred to the new church corporation. This final step changes the name in which property is legally held. It does not change the congregation’s spiritual ownership, mission, or use of the property.
What May Change and What Should Not Change
Changes Incorporation Brings
What Remains Unchanged
Incorporation will not affect Christ’s headship, MPBC’s doctrine, or spiritual identity. Worship, preaching, ministry, and the pastoral calling process remain intact unless the church decides otherwise. MPBC’s mission pillars continue as before, along with federal tax-exempt status.
