Historical Timeline: Why Virginia Churches Historically Did Not Incorporate

The journey of church incorporation in Virginia has been shaped by significant milestones. In 1786, the Virginia Statute for Religious Freedom established a clear separation between government and religious belief, laying the groundwork for future developments. Throughout the 19th century, a constitutional prohibition prevented the General Assembly from granting corporate charters to churches, leading to a traditional structure where property was held by trustees for the congregation. This changed in 2002 when the Falwell v. Miller case highlighted that the prohibition violated the Free Exercise Clause. A legislative study in 2005 explored how incorporated churches could manage property while respecting church governance. By 2006-2007, Virginia voters approved the removal of the prohibition, effective January 1, 2007. Now, as we approach 2026, Mt. Why has MPBC remained unincorporated for approximately 160 years?

Virginia historically prohibited church incorporation. Older Virginia congregations generally operated through trustees because incorporation was unavailable—not necessarily because earlier members considered and rejected it.

Does incorporation eliminate personal liability?

Incorporation provides important legal protections but does not excuse personal misconduct, negligence, misuse of funds, criminal acts, or obligations personally guaranteed by an individual.

What happens to the trustees?

This remains a governance-design question until the proposed articles of incorporation, constitution, and bylaws are completed. MPBC must decide whether trustees would: continue in a revised role; serve as directors; retain defined property-related responsibilities; or transition their legal-title responsibilities to the corporation.

Does incorporation affect MPBC's 501(c)(3) status?

Incorporation and federal tax exemption are related but separate legal questions. Incorporating does not automatically terminate or create MPBC’s tax-exempt status. Appropriate religious-purpose and dissolution provisions should be included in the articles.

    If necessary, church property will be transferred to the new church corporation. This final step changes the name in which property is legally held. It does not change the congregation’s spiritual ownership, mission, or use of the property.
